These Terms of Service govern your access to and use of the BaseLedgerPro platform and related services. Please read them carefully before creating an account or using the Service.
By creating an account or using BaseLedgerPro (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, please do not use the Service.
BaseLedgerPro is a cloud-based bookkeeping platform for small businesses and the accounting professionals who serve them. The Service provides:
The Service is offered in two primary access modes: Firm Access (for accounting firms and CPAs managing client engagements) and Client Access (for business owners managing their own books). Both modes are governed by these Terms.
Registration. To use the Service you must register for an account. You agree to provide accurate, complete, and current information during registration and to keep that information up to date.
Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@baseledgerpro.com if you become aware of any unauthorized access or security breach.
One account per user. Each individual must maintain their own account. You may not share your credentials or transfer your account to another person.
Firm-managed accounts. If your account was created by an accounting firm on your behalf, the firm administrator may have access to your account data as part of the engagement. You acknowledge and agree to this access.
Subscription plans. BaseLedgerPro offers monthly and annual subscription plans. Current pricing is available at baseledgerpro.com/pricing.
Free trial. New accounts may begin with a free trial period. No credit card is required to start a trial. Trial limitations are described at signup.
Recurring billing. If you subscribe to a paid plan, you authorize us to charge your payment method on your chosen billing cycle (monthly or annual). Subscriptions automatically renew unless cancelled.
Cancellation. You may cancel your subscription at any time from within your account settings. Cancellations take effect at the end of the current billing period; you will retain access through that date.
Refunds. We do not offer refunds for partial billing periods. If you believe you were charged in error, please contact us within 30 days of the charge at support@baseledgerpro.com.
Price changes. We will provide at least 30 days' notice before changing subscription prices for existing subscribers.
Payment processing. Payments are processed by Stripe, Inc. We do not store your full payment card details. By subscribing, you agree to Stripe's terms of service.
You retain all rights to the financial records, transaction data, invoices, and other content you enter into the Service ("Your Data"). We process Your Data only to provide and improve the Service on your behalf.
Export. You may export Your Data at any time in standard formats from within the Service.
Retention upon cancellation. Upon cancellation of your account, Your Data is retained for 90 days to allow for reactivation or export, after which it is permanently deleted from our systems.
No use for model training. We do not use Your Data to train machine learning models or for any purpose other than operating the Service.
Optional feature. The Service includes an optional feature that allows you to connect bank and financial accounts to automatically import transaction data. This feature is powered by Plaid Technologies, Inc. ("Plaid").
Authorization. By connecting a financial account, you authorize BaseLedgerPro to access your financial data through Plaid for the purpose of operating the Service. You also authorize Plaid to access, transmit, and store your financial data in accordance with Plaid's End User Privacy Policy, available at plaid.com/legal/#consumers.
Plaid terms. By using the bank connectivity feature, you agree to be bound by Plaid's terms of service. You represent that you are authorized to connect any accounts you link.
Revoking access. You may disconnect any linked financial account at any time from within the Service. You may also manage your Plaid-connected applications directly through Plaid's consumer portal at my.plaid.com.
No liability for third-party services. BaseLedgerPro is not responsible for the availability, accuracy, or security practices of Plaid or any financial institution. We disclaim all liability for errors or interruptions in data received from Plaid.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
The Service, including its software, design, user interface, text, graphics, and content (excluding Your Data), is owned by or licensed to BaseLedgerPro and is protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms. Nothing in these Terms transfers any intellectual property rights to you.
You retain full ownership of Your Data. By using the Service, you grant BaseLedgerPro a limited license to process Your Data solely to provide the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASELEDGERPRO DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
BaseLedgerPro does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Financial reports and data generated by the Service are tools to assist you and should be reviewed by a qualified accounting professional before reliance on them for tax filing or material business decisions.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BASELEDGERPRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL BASELEDGERPRO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles.
Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or unauthorized use of the Service.
We may update these Terms from time to time. If we make material changes, we will notify you by email or by displaying a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
